李栗燕，1976年生，法学博士、博士后。南京航空航天大学教授、博士研究生导师。江苏高校“青蓝工程”中青年学术带头人，美国埃默里大学法学院访问学者。任中国法学教育研究会理事、中国立法学研究会理事，国家社科基金、国家公派留学基金评审专家。主持国家社科基金、教育部基金、中国博士后科学基金特别资助、省社科基金等各类课题20余项，出版学术专著和全英文教程13部，发表CSSCI学术论文20多篇。获江苏省高校、江苏省社科界学术大会一等奖、二等奖等10多项奖项，双语教学获校*教学成果一等奖、课程观摩竞赛一等奖等10多项奖项。

本书以培养*化的商事法律人才为旨归，以九章之篇幅，系统阐述了商法概述、合伙企业法、公司法、破产法、票据法、保险法、银行法等重要商事法律，参国情、考世情，呈现全新法律规范及教学研究成果，并且分析了商事法律规范背后的价值取向和利益考量，使读者能对商法获得全面、深刻的理解。本次新版，进一步优化了知识内容的前沿性，关照了*外法规的对比性，体现了与相关法律部门的衔接性，增强了教程的趣味性。有针对性地编排学前、学中、学后延伸性学习资料的配备，帮助读者深考精思，实现理论、规范与实践的良性互动，适用于中外法律学人及法律职业人士。

前言
随着全球化进程的推进，中国的法治发展日趋与*接轨，我国法学教育的*化自不待言。在全社会强调双语教育的大环境下，法学专业的教学目标是把学生培养成受*和*两个市场欢迎的法律工作者。
商法作为市场经济法律体系中*基本、*重要的法律分支之一，开设于*外各高校的法学院和商学院，具有极强的实用性。因此，在法学专业的双语教学体系中，商法双语教学有着特殊的现实意义。但是我国目前商法双语教学面临着适合学生、读者学习的专业英文教程短缺的严峻形势。如果没有合适的英文教材，双语教学就成了无水之源，无本之木。基于此，编者于2005年出国进修期间着手编写全英文的商法教材，以配合商法双语教学。
2006年作者编写出版了《商法导论》一书，介绍了商法的一些基本概念和原理，包括合伙法、公司法、保险法、银行法等方面的主要内容，同时介绍了商事程序，商务谈判的规范、形式、技巧、语言，主要着眼于基础性问题的学习和满足初涉商海人士的需求。
《商法导论》于2006年付梓至今，已经历时6年，受到了广大读者的热烈好评。在此期间，多所大学以该教材作为法学核心主干课程的双语教材使用，此书被北京大学、清华大学、北京理工大学等*高校图书馆收藏，并获得了若干*教学成果奖。教学实践中，师生们在表示喜爱和支持的同时，也对编撰更高水平的教材提出了进一步设想。商法是法学领域内一门实践性、灵活性、变动性很强的应用型法律。因此，编者进一步编写本部《商法》教材，对商法教材进行补充和完善，以促进商法课程建设成为高质量的双语课程。
此次编写，参考整理了*的英文*文献资料，精心选择了商事法律的核心内容进行编排，主要特点如下：
*，保证质量与专业水准，减少疏漏误读。在本部《商法》教程编写过程中，为保证全英文的语境、专业法律英语的水准，笔者不仅与法学专业的教授反复研究文本内容，还特地邀请国外来华学者对本书进行阅读和校对，纠正一些外语写作方面的纰漏和误读，力臻无误。
第二，在每一章正文前面增设一小段内容提示。由于本书是全英文，对于一些英文底子较为薄弱的学生来说，面对通篇的英文叙述，常常感到茫然甚至抵触。为了帮助读者更加准确地把握章节内容和更快地进入英文阅读角色，本书在每章进入正文前安排了本章简介，以便读者在阅读前能够对整章内容有一个宏观了解。
第三，调整了教材的体系内容。*外不少商事法律在近年都有所改动，为了充实和完善商法教材的体系内容，本次编写更新了专业知识内容，如保险法和银行法，还增加了破产法、票据法、证券法等专业性、实用性强的商法内容。
第四，有针对性地编排了每章附录的各类练习和注释。为了弥补双语教程所附的练习冗长、单词注释篇幅较大挤占正文空间的不足，这本《商法》甄选了针对性的练习，并筛选了有法学特色的单词进行注释，在增强实用性的同时提升教材的专业层次。
另外，值得一提的是，编者在编写本教材的基础上，还通过收集、整理大量案例，编撰了一部商法教材的配套英文案例教程作为商法教材的配套参考教学用书使用。
编者所授的“商法”（Commercial Law）是南京航空航天大学双语教学示范课程，本教材是南京航空航天大学“十二五”*批规划教材建设立项项目成果，同时也是南京航空航天大学*青年教师教育教学改革项目“应用法学课程双语教学建设研究”（M0939-101-PT）的研究成果。感谢南京航空航天大学和国防工业出版社的倾力支持，感谢温珍芳和加拿大学者米切尔·库特尼的悉心协助，希望本教程能为学生和其他读者提供更多的帮助，获得更多读者的喜爱。当然，由于编者的水平有限，不足之处仍在所难免，谨请读者们继续提出修改意见，我们共同努力使本书更加完善、成熟，编者不甚感激！

Preface
Along with the advance of globalization，the development of legal systems inChina is being in line with international standards，so is Chinese legal education.Under the social circumstance of bilingual teaching，the aim of legal education is to acquaint the legal professionals not only with domestic laws but also with foreign laws.
In the legal system of market economy，commercial law is highly applied and one of the most important legal branches.However，there is a serious predicament in commercial law bilingual education—lack of proper text book.Thats exactly the motivation for me to write the book on Commercial Law.
The author has edited a book named Introductory Guide to Commercial Law.It has been six years since the book was published in 2006，which has got glowing reviews from readers.During this period，the book has received several awards of excellent teaching，and has been applied by many universities as the bilingual textbook for major legal courses.Also，it has been collected by libraries of some famous universities，such as Peking University，Tsinghua University，and Beijing Institute of Technology，etc.In the teaching practice，teachers and students have put forward some proposals to express their favor and support.And commercial law is an applicable law with practicability，flexibility and changeability.In order to meet readersneeds，the editor revised and supplemented the book further to make commercial law course a high quality bilingual course.
The book we mentioned above focuses on the introductory guide to commercial law，but this time we become much more comprehensive and professional.This new book has been revised with references of latest authoritative materials，and restructured by selecting core content of commercial law.The major improvements are as follows：
1.Keep professional and high quality.When I edited this new book，legal professors and foreign scholars were invited to read and revise it over and over again.
2.A paragraph of content tips has been added in every chapter before the text.For those students whose English were not that good，it is a little bit confused or even resent to read a pure English book.Therefore，to help readers understand the content of the whole chapter more accurate and get into the mood of English reading faster，I have arranged brief chapter introduction before the text.
3.Adjust the content of the textbook.Many commercial laws at home and abroad are revised recently.To adjust and enrich the content of the text book，I have updated the latest professional knowledge including insurance law and banking law，increased professional and practicable commercial regulations，like bankruptcy law，negotiable instrument law，and securities law，etc.
4.In this text book，both practices and word definitions attached to every chapter are meticulously selected to enhance practicability and professionalism.
Furthermore，it is worth to be mentioned that besides of editing the textbook，a casebook in English has been compiled to go with the textbook by collecting and collating a large sum of legal cases.
I wish that the compilation mentioned above are helpful and favorable to all the readers.Nevertheless，what I have done still leaves much to be desired，I hope the readers may put forward suggestions continuously，and we will work together to make the book more perfect and mature.Thanks a lot!

再版前言
《商法》一书于2012年出版至今，将逾7年。由于本书较为系统地阐述了商事法律的基础理论和基本制度，且内容上较《商法导论》具有很大创新，注重吸收了*外商事法律研究与实务界的*成果和理论，因此自出版以来深受广大读者的欢迎和喜爱，不少高校将其作为法律双语课程的指定教材。对此，编者*感激。
本书出版以后的几年时间之内，在我国经济高速发展的同时，立法工作也取得了新的重大进展。比如，对商事法律影响较大是2013年和2018年两次修改的《公司法》。另外证券法、保险法等诸多部门法都有*的调整，所以本次修订着重根据现行法律规定对相应内容作出更新。本次修订在保持原有编排特色的基础上，首先，加入了新兴、前沿的知识内容，适应新的法律规范；其次，进一步增强了本书的趣味性和实用性，修订延伸性学习资料的配备，比如，有针对性地在部分内容里增添了“Hypothesis”环节，使刻板的知识变得生动形象，以帮助学生深入理解、领会；*，进一步完善了教程体系，调整篇章结构，更体现*立法和*立法相结合，以及与其他相关法律部门的衔接与异同。

Second Edition Preface
It has been seven years since the book Commercial Law was published in 2012. This book systematically elaborates the basic theories and systems of commercial law, innovates in content comparing with Introduction Guide to Commercial Law, as well updates the newest expertise knowledge home and abroad. Due to those advantages, Commercial Law has won the hearts of readers and been applied by many universities as bilingual textbook for major legal courses. The editor is very thankful for that.
After several years of publishing this book, with the rapid development of our economic, legislative work has made significant progress at the same time. The Company Law of PRC, revised twice in 2013 and 2018, is the most important and far-reaching one. In addition, Securities Law, Insurance Law and other associative department laws have also been amended in recent years. On this background, we emphasize on the corresponding content to the revised parts. First of all, update the cutting-age knowledge to adjust to the new articles. Then, further enhance the practicability and interestingness of the book and amend the supplementary reading materials. For example, add “Hypotheses” to some sections to help readers and students to understand those abstract and complicated concepts or provisions. Last but not least, further improve and perfect the content of the book to precipitate the combination of the laws home and abroad as well as the connections and differences with relevant department laws.
The book was approved as 2017 13th Five-Year Plan Jiangsu Province Colleges’ and Universities’ Key Textbook and strongly supported by Law Press. Meanwhile, the editor would like to appreciate the help of teacher Wang Mingrui and postgraduate Lu Ting from Nanjing University of Aeronautics and Astronautics. The author wishes that this edition will satisfy students and teachers like the first one. We hope our readers may continue to put forward suggestions on this book, so that we can work together to make the book more and more mature.
